Terms of Service

These terms explain the rules for using the Controller Agent service. Please read them together with our Privacy Policy, which explains how we handle your data.
1. About these terms
These terms apply when you or your company use the Controller Agent service, including when you connect a mailbox to it. "Controller Agent", "we", "us" and "our" mean the Controller Agent service and the people who operate it; "you" means the company that uses Controller Agent and the people at that company who use it.
If your company has signed a separate agreement with us for Controller Agent, such as a master subscription agreement or an order form, that agreement governs your company's use of the service and takes precedence over these terms where the two differ.
By using the service, you confirm that you are authorized to use it for your company and that your company accepts these terms.
2. The service
Controller Agent is an AI accounting assistant for companies that use Acumatica ERP. It reads the documents your company receives, such as invoices and statements, prepares draft accounting entries from them for your company to review, and enters an entry into your company's own Acumatica only when a person at your company approves it, or under automatic-approval settings turned on for your company with its agreement.
The service uses AI models, which can make mistakes. Draft entries and other results may be wrong or incomplete. Review them before you approve them, and check what is entered before you rely on it.
Each entry approved by your company, or under settings turned on for your company, is your company's own instruction and your company's own record. Your company remains responsible for its books and records, its filings and its internal controls.
The service is built so that it does not print checks, export payment files or release payments: those steps are left to your company's own people.
The service does not give accounting, audit, tax, legal or investment advice.
We may change and improve the service over time.
3. Your responsibilities
Your company is responsible for its Acumatica licenses, its Acumatica setup and its own data, and for keeping its logins, keys and access tokens safe.
Use the service only for your company's own business and in line with the law.
Connect only mailboxes that your company is entitled to connect.
Do not copy, resell or reverse engineer the service; do not use it to build a competing product; do not get around its security, approval or logging controls; and do not use it to process payment card numbers, health information or other specially regulated data.
4. Your data
Your company's data stays your company's. We use it to provide, secure and support the service for your company, as described in our Privacy Policy.
We do not use one company's data to provide the service to another company, with one exception: what a vendor's document layout looks like (where fields sit on the page, never the values printed there), and only when your company's approver chooses to share it. Layouts learned from documents that came from Gmail are never shared.
We do not use Gmail data, or anything derived from it, to develop, train or improve general or foundation AI models.
5. Our service and content
Controller Agent, including its software, cards, playbooks and prompts, belongs to us and our licensors. Its cards, playbooks and prompts run from our servers and are not transferred to your company. The connector installed in your company's Acumatica is licensed to your company, not sold, and only for use with the service. Your company has the right to use the service while it uses Controller Agent under these terms.
The records that approved entries create in your company's Acumatica belong to your company.
If you send us suggestions about the service, we may use them to improve it without any obligation to you.
6. Other companies' services
The service works with services we do not provide, including Acumatica, Google, Microsoft, Anthropic and Cloudflare. Your company's use of those services is governed by its own agreements with their providers, and we are not responsible for their availability or for changes to them.
Acumatica is a product of Acumatica, Inc. Controller Agent is independent of, and is not affiliated with or endorsed by, Acumatica, Inc. Gmail and Google Workspace are trademarks of Google LLC; Controller Agent is not affiliated with or endorsed by Google.
7. Suspension and ending
Your company may stop using the service at any time. An approver can disconnect each mailbox and delete what we hold from it, as described in our Privacy Policy.
We may suspend or end access to the service if it is used in breach of these terms, if its use puts the security of the service or of others at risk, or if the law requires it.
When your company stops using the service, what happens to its data is set out in our Privacy Policy and in any agreement your company has with us.
8. Disclaimers
Except as stated in a signed agreement with your company, and to the extent the law allows, the service is provided "as is" and "as available", without warranties of any kind. We do not promise that the service will be uninterrupted or error-free, or that its results will be accurate or complete.
9. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, and our total liability for any claim relating to the service is limited to the fees your company paid us for the service in the 12 months before the claim arose.
Nothing in these terms limits any liability that cannot be limited by law.
10. Changes to these terms
We may update these terms. We will post the new version on this page with a new date, and if a change is significant, we will tell your company before it takes effect.
